Terms of Use
These Terms of Use ("Terms") govern your access to and use ofassisthealth.tech (the "Site"), operated byAssist Health Technologies LLC ("Assist Health," "we," "us," or "our"). By accessing or using the Site, you agree to these Terms. If you do not agree, please do not use the Site.
1. What these Terms cover
These Terms apply to this marketing website only. They do not govern use of the NephroAssist or AssistSuite applications or any other service we provide to a customer, which are covered by a separate written agreement and, where applicable, a Business Associate Agreement (BAA) under HIPAA.
In the event of a conflict between these Terms and a signed agreement between you and Assist Health, the signed agreement controls.
2. Informational purpose only
Content on the Site is provided for general informational purposes about our company and our products. It is not medical advice, legal advice, compliance advice, or professional advice of any kind, and it does not create any professional or advisory relationship between you and us.
Descriptions of our products on the Site are summaries. They are not specifications, service-level commitments, warranties, or contractual obligations, and product capabilities may change.
3. No protected health information
Do not submit protected health information (PHI) through this Site. The contact form is not a secure channel for PHI. Submitting information through the Site does not create a Business Associate relationship and does not place us under a BAA with respect to that information.
4. Acceptable use
You agree not to:
- Use the Site for any unlawful purpose or in violation of these Terms.
- Submit false, misleading, or impersonating information, or submit content you do not have the right to submit.
- Send unsolicited or automated submissions, spam, or attempt to defeat the Site's anti-spam measures.
- Attempt to gain unauthorized access to the Site, its systems, or its underlying infrastructure, or probe, scan, or test its vulnerability without our prior written permission.
- Introduce malware, or interfere with or disrupt the integrity or performance of the Site.
- Scrape, harvest, or systematically extract data from the Site, or use it to train machine-learning models, without our prior written permission.
If you are a security researcher and believe you have found a vulnerability, please report it to info@assisthealth.techrather than exploiting it. We welcome good-faith reports.
5. Intellectual property
The Site and its content — including text, design, layout, graphics, and theAssist Health and AssistSuite names, logos, and marks — are owned by Assist Health Technologies LLC and are protected by intellectual property law. Except as these Terms allow, you may not copy, modify, distribute, or create derivative works from them.
NephroAssist is a product identity of its own and its name and logo are used as such. Nothing here grants you any right to use the NephroAssist name or logo.
You may view, download, and print Site content for your own internal, non-commercial evaluation purposes, provided you do not remove any proprietary notices.
6. Your submissions
If you send us a message through the Site, you grant us permission to use it for the purpose of responding to you and operating our business. Do not send us confidential information you do not want us to have, and do not send us ideas or proposals you expect to be compensated for — any such submission is voluntary and non-confidential.
7. Third-party links
The Site may link to third-party websites, including nephroassist.com. We do not control those sites and are not responsible for their content, products, or practices. Links are not endorsements.
8. Disclaimer of warranties
THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Site will be uninterrupted, timely, secure, or error-free, or that its content is accurate, complete, or current.
9. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, ASSIST HEALTH TECHNOLOGIES LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
10. Indemnification
You agree to indemnify and hold harmless Assist Health Technologies LLC from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your misuse of the Site or your violation of these Terms or of applicable law.
11. Governing law and venue
These Terms are governed by the laws of the State of Georgia, without regard to its conflict-of-law rules. You agree that any dispute arising out of or relating to the Site or these Terms will be brought exclusively in the state or federal courts located in Gwinnett County, Georgia, and you consent to their jurisdiction.
12. Changes to the Site and to these Terms
We may modify or discontinue the Site, or any part of it, at any time. We may also revise these Terms; the revised version takes effect when posted, with an updated effective date. Your continued use of the Site after that constitutes acceptance.
13. Severability and waiver
If any provision of these Terms is held unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full force. Our failure to enforce any provision is not a waiver of it.
